Legal Guidance From A Security Token Offerings Lawyer In The Greater Tampa Bay Area

Last updated on July 25, 2025

Security tokens offer valuable solutions for those buying and selling assets through the crypto space. With a security token offering (STO), you can have legal rights to real-life assets, such as real estate or company shares. That said, the process can be overwhelming, especially without the right legal support.

At Licznerski Law, PLLC, I understand the compliance obligations and costs that come with launching an STO. My name is Alexander Licznerski, and I help my clients comply with all reporting, registration and disclosure regulations. With my help, you can reduce the risk of fraud allegations that lead to crypto investigations. Contact my Tampa Bay law office today at 813-934-3519 or complete my online form to set up a free consultation.

What Are STOs?

An STO is a fundraising effort and involves the distribution of blockchain-based tokens that serve as proof of ownership. These assets can be tangible or intangible, including art, company equity and real estate.

Unlike utility tokens, such as those from initial coin offerings (ICOs), which provide access to a service or a platform, security tokens allow investors to hold a stake in a company or an asset. This means that token investors will be entitled to dividends, voting rights and profit shares.

Moreover, the tokens distributed in an STO are securities, and they are subject to regulation by authorities. This means that, unlike utility tokens, they offer the same legal protections as traditional securities, such as bonds or stocks.

The Legal Considerations Of STOs

STOs must comply with applicable securities laws, which vary by jurisdiction. In the United States, this includes registration requirements with the Securities and Exchange Commission (SEC). You must also determine what type of security tokens you want to offer. You have three options:

  1. Debt tokens: These tokens represent liabilities, providing capital to a company with expected returns, such as dividends or interest.
  2. Equity tokens: These tokens allow investment in a company similar to stocks, but ownership is via the blockchain, making them more secure and tradable. Businesses use them when investors don’t seek voting rights.
  3. Asset tokens: These are digital currencies secured by physical properties, enabling fractional ownership of expensive assets, enhancing flexibility in complex asset sales.

Each type of token has its own benefits and risks. You should carefully consider which type aligns best with your business goals and investor expectations. Remember, following the right legal procedures can protect your business and help build trust with your investors.

Address Your STO Issues With Me At Licznerski Law, PLLC

The crypto industry has strict legal requirements, and failing to comply can lead to serious consequences. This is why seeking legal help is crucial. An experienced attorney can guide you through the process, ensuring that you meet all necessary regulations and make informed decisions about the type of security tokens to offer.

Going at it alone can lead to costly mistakes and potential legal issues. By working with a legal professional, you can protect your business, gain investor trust and focus on growing your venture with confidence.

As your STO lawyer, I can structure security tokens for your offerings so that they suit your needs. I can advise you on compliance obligations and trading on the crypto market.
